GUIDE TO THE MERGER PROCESS IN THE EU

DEADLINES:

The European Commission has 25 working days after an agreement is submitted for a first stage review. You can extend that from 10 business days to 35 business days, to consider the remedies proposed by a company or the request of an EU member state to handle the case. Most mergers are approved, but occasionally the Commission opens a detailed second-stage investigation for up to an additional 90 business days, which can be extended to 105 business days.

SIMPLIFIED:

Under the simplified procedure, the Commission announces the authorization of undisputed first-stage mergers without giving any reason for its decision. Cases may be reclassified as non-simplified, that is, regular first-stage reviews, until they are approved. (Reporting by Daphne Psaledakis)
